This agreement, henceforth called Terms Of Use, comprises terms and conditions that will govern your participation in the transaction management and escrow services provided on and through this Site. By choosing to use our services, and by fulfilling the instructions given to you before each Transaction Step, you will indicate that you stand in acceptance with any and all stipulations contained in this Agreement and accept their legal binding as described in the followings:

1. The Parties
In these Terms Of Use, the words "we", "our" and "us"refer to any of their future affiliates, whereas the words "you" and "your" refer to the User of any services provided by . "Transaction" means a use of the services by a seller (or sellers) and a buyer (or buyers) in a single escrowed transaction. "User" means a buyer (or buyers) and a seller (or sellers) participating in a Transaction. "Site" refers to the World Wide Web location of our service.

2. The Service
Our service consists of Internet-based transaction management services performed by Alta Spedition and is intended to facilitate the completion of all Transactions under the terms of this Agreement, the Site and the applicable Escrow Instructions.

3. Service Limitations
The Service is only available for lawful Items and Items not otherwise excluded by this Section of the Agreement. Other limitations on the Service may apply and can be found in the Escrow Instructions. Only registered Users may use the Service. In order to register, you must supply all information required on the Site. Applicable state or federal laws and regulations may further limit the Services. Our Service must and will not be used in connection with:

- real property or any interest therein
- pirated software or videos or the Item(s) otherwise infringing copyrighted works
- the sale or transfer of liquor licenses
- sales of entire businesses (bulk sales)
- mortgages or deeds of trust
- illegal drugs or controlled substances not covered by a prescription
- any other Items which may violate Escrow Instructions or the Spanish Business Code
- Alta Spedition reserves the right to refuse the completion of a Transaction which it has reason to believe is unauthorized by the real buyer or seller according to the submitted Personal Details, or a Transaction which violates any rule, regulation or law. Alta Spedition will be held harmless should any losses occur in violation of this Agreement.

4. Our Responsibilities
Alta Spedition will only perform those duties specifically described in this Agreement. No error of judgment, no action or inaction or mistake of law or facts shall be used to hold us liable, except for any gross negligence or willful misconduct on our behalf. Should we be in any doubt as to what our duties and responsibilities are under this Agreement, we reserve the right to consult any counsel of our choice, refrain from any further action and defer the matter to a Court with Competent Jurisdiction. We may choose, at any point in time, to give notice to all parts of a Transaction of our intention to resign as an escrow agent. Should we not, within twenty (20) days, receive notice from all the parts that a substitute Agent has been elected, we will consider ourselves discharged from our obligations under this Agreement.

5. Transaction Canceling
In the event that a transaction cannot be completed, such as because a violation occurred of one of the stipulations of this Agreement or of the Five Step Process, we will notify each part of the respective Transaction by e-mail to the provided e-mail address. We also may cancel a transaction should any part fail to agree to its terms within a reasonable period of time by following the procedure described in the Five Step Process.

6. Fees
Unless the parties have otherwise agreed, the Buyer will pay any and all escrow fees as described on the Site. The fees can be predetermined before the transaction is initiated using our Tracking. Alta Spedition reserves the right to adjust or modify its fee policy, of course with prior notice to all parties and not applicable to any pending Transactions.

7. Termination Of Service
Our Service may be terminated at our sole discretion, without any notice or reason, of course with respect to the pending Transactions, which will be completed. Should the completion of a Transaction become impossible due to the future termination of our Service, we shall redirect that transaction, with your prior notice and acceptance, to another Escrow service, either affiliated to Alta Spedition or not.

8. The Service Is Non-Transferable
You may not transfer this Agreement to any other person or entity except when permitted to do so by Alta Spedition. The form of Consent must be in writing and notarized. Any attempt to transfer that violates this provision will be null and void.

9. Modifications
We reserve the right to change this Agreement, or any portion of it, at any time, without prior notice, provided that no such change will apply to a Transaction once the Users to such Transaction have agreed to the Escrow Instructions. You understand that the most recent version of this Agreement will be located on the Site.
